Jie Chengying Xiu’s practice specializes in corporate and securities laws, mergers and acquisitions, and a wide range of business and commercial matters. She represents high-profile, complex M&A and securities offering projects across multiple regions, including East and Southeast Asia, Europe, and North America. Jie serves corporations and individuals in transactions ranging from billion-dollar M&A deals to startup financings.

Her expertise includes advising clients on public offerings, including IPOs, SPAC IPOs and reverse mergers, and compliance with federal and state securities laws. Jie has a substantial track record in helping companies navigate listings on major exchanges such as NASDAQ, NYSE, and OTC Markets, as well as representing them in both public and private offerings of debt and equity securities.

Her client base spans industries including investment banking, financial services, high-tech, pharmaceuticals and biotech, manufacturing, consumer products, real estate, retail and fashion, education, advertising, and maritime sectors. Before joining her current firm, Jie was counsel at a prominent international law firm.

  • Led a $300 million sale of a food logistics company to a Nasdaq-listed SPAC and continued to represent the public company post-listing.

  • Provided counsel on the Securities Exchange Act compliance, including filing Forms 10-Ks, 10-Qs, 8-Ks, proxies, and organizing annual shareholder meetings.
