Overview
Yujie “Eugene” Wang is an attorney in Becker’s Corporate & Securities Practice based in the New York office. Ms. Wang advises domestic and international clients on a broad range of corporate and securities matters, including capital markets transactions, securities compliance, corporate governance, and cross-border transactions.
Ms. Wang has experience representing companies across various industries in complex financing and capital markets matters, including initial public offerings, SPAC and DeSPAC transactions, follow-on offerings, and at-the-market offerings. She regularly prepares and reviews filings under the Securities Act of 1933 and the Securities Exchange Act of 1934, including Forms S-1, F-1, 8-K, 10-Q, 10-K, 20-F, 6-K, proxy statements, and beneficial ownership reports. She also advises public companies on ongoing reporting obligations, shareholder meeting matters, and corporate governance issues.
Prior to joining Becker, Ms. Wang worked extensively on U.S. and cross-border capital markets transactions, representing both issuers and underwriters in numerous public offerings and securities matters. Her experience includes drafting key disclosure sections for registration statements, coordinating due diligence and verification processes, preparing periodic reporting filings, and advising clients on securities compliance, corporate governance, and operational matters.
Ms. Wang earned her LL.M. from Columbia Law School, where she focused her studies on corporations, real estate transactions, bankruptcy, and financial statement analysis. She earned her LL.B., summa cum laude, from China University of Political Science and Law, where she was selected for the International Legal Talents Program and served as an editor of the CUPL Law Review. She also studied at University of California, Berkeley as an exchange student. Ms. Wang is fluent in Mandarin Chinese.
