Becker’s Art Law practice advises artists, collectors, galleries, art advisers, cultural institutions, nonprofit organizations, and art-related businesses on the legal and commercial matters involved in creating, acquiring, owning, selling, exhibiting, and financing art.

Works of art can hold financial value and profound cultural and personal significance. We approach each matter with attention to both, helping clients protect their interests while supporting the artistic vision, relationships, and long-term objectives underlying the transaction or project.

Drawing on Becker’s corporate, mergers and acquisitions, finance, and cross-border capabilities, the practice brings a business perspective to art transactions and ventures. We work with colleagues in intellectual property, business litigation, tax, trusts and estates, and real estate to address the needs of each engagement.

Services

Art transactions. Negotiating purchase, sale, consignment, and auction-related agreements; addressing payment terms, commissions, warranties, and transfer of ownership; and conducting legal due diligence concerning title, provenance, and authenticity representations, with input from appropriate art-market professionals.

Artist representation and collaborations. Advising on artist commissions, gallery representation, art-adviser engagements, fabrication and production agreements, sponsorships, and creative partnerships. We help define responsibilities, compensation, rights in the work, and the terms governing an ongoing relationship or individual project.

Exhibitions and artwork loans. Preparing and negotiating artwork loan, exhibition, venue, and collaboration agreements, including provisions governing display, transportation, storage, insurance responsibilities, risk of loss, image use, and the return of artworks.

Art businesses and corporate transactions. Establishing and structuring artist studios, galleries, and other art-related enterprises; advising on ownership and governance; and handling shareholder agreements, joint ventures, investments, acquisitions, and ongoing commercial contracts.

Art finance and investment. Structuring and documenting art-related financing and investment arrangements, including secured lending, collection-holding entities, and joint ownership. We address the associated corporate, collateral, and securities-law considerations with the appropriate members of Becker’s team.

Intellectual property and licensing. Advising on ownership and use of artwork and images, reproduction and licensing agreements, brand collaborations, and related copyright and trademark matters in coordination with Becker’s intellectual property attorneys.

Philanthropy and nonprofit governance. Assisting with charitable gifts, pledges, sponsorships, fundraising projects, and charitable auctions, as well as the formation and governance of cultural nonprofits and artist foundations. We help document donor intentions, restrictions, and institutional responsibilities.

Collection and legacy planning. Working with Becker’s trusts and estates and tax attorneys on collection ownership, charitable transfers, succession, and planning for the stewardship of artworks, archives, and artists’ legacies.

Dispute resolution. Working with Becker’s litigation attorneys to address disputes concerning art transactions, contractual obligations, ownership, consignments, and business relationships through negotiation, mediation, arbitration, or litigation, as appropriate.

The practice has a particular focus on relationships and transactions connecting the United States and Asia. Drawing on experience in cross-border business and longstanding relationships within Asian-American business, philanthropic, and cultural communities, we help clients navigate differences in commercial practices and cultural expectations. We coordinate with local counsel and relevant tax, customs, and other professionals when a matter involves multiple jurisdictions.
