Bio
Valeria Angelucci is a seasoned corporate transactional attorney with a unique international background. She is a member of the Becker International Practice Group, and specializes in mergers and acquisitions, securities, corporate finance, SPACs, private equity, and general corporate.
Admitted to the Florida and New York Bars, and holding JD degrees from the US and Italy, Ms. Angelucci uses her unique blend of legal expertise, cultural sensitivity, international experience, and language skills to craft tailored strategies for clients operating internationally and deliver innovative, creative and cost-effective solutions for complex cross-border transactions.
An active member of the legal community, Ms. Angelucci has served as Chair of the Corporations, Securities and Financial Services Committee and Chair of the Inclusion, Mentorship and Fellowship Committee of the Florida Bar Business Law Section, and has also been recognized for her leadership and contributions to the Section. In addition, she has been involved in the development of legislative proposals or review of proposed bills affecting the corporate law field, including but not limited to her work with the Chapter 48 Task Force, which developed a bill that revised and modernized service of process procedures and methods in Florida state courts (particularly, but not exclusively, regarding service of process on business entities) that was signed into law and became effective in January 2023.
EXPERIENCE
- Led private cross-border M&A transactions. Conducted comprehensive due diligence; drafted purchase agreements and other transaction documents; managed all legal aspects of the deal, including negotiations, compliance, and closing, proactively identifying and mitigating potential risks; collaborated with clients and international legal teams.
- Represented a multi-unit franchisee operating over 120 restaurants in the acquisition of several franchise restaurants, and assisted on leasing, financing and franchising issues in connection with such acquisitions.
- Assisted with SPACs IPOs, and de-SPACs, including drafting offering documents, conducting comprehensive cross-border due diligence, and assisting with the drafting of the key documents and SEC filings.
- Advised a global beauty company on its expansion in the US market, corporate governance, strategic partnerships with celebrities, including negotiating licensing deals with global fashion brands, successfully launching new lines and products, and assisting on a variety of US law related issues.
- Served as outside general counsel to multinational entities, including in the food, beauty, manufacturing and fitness industry, and guided and advised on a variety of matters, including intellectual property, employment, and real estate issues.
- Drafted and negotiated a variety of sophisticated commercial contracts, including SaaS agreements, distribution agreements, broker agreements, sale and purchase agreements, and employment and consulting agreements (including sophisticated executive compensation arrangements, and equity incentive plans).
- Advised on intellectual property matters, including trademarks and licensing. Drafted and filed trademark applications, renewals, and assisted with office actions with the USPTO.
- Advised financial institutions and corporate clients on loan transactions. Drafted and negotiated loan agreements, security documents, and other related transaction documents.
